IMPORTANT NOTICE

ServiceOrca is a promotional directory platform only. It is not a marketplace, booking service, broker, or intermediary of any kind. ServiceOrca does not provide, arrange, facilitate, or take any responsibility whatsoever for services listed or promoted by Service Providers on this Platform. By accessing or using this Platform in any capacity, you confirm that you have read, understood, and agree to be bound by these Terms in their entirety. If you do not agree, you must stop using the Platform immediately.


1. DEFINITIONS

For the purposes of these Terms, the following definitions apply:

  • "ServiceOrca," "Platform," "we," "us," or "our" — refers to ServiceOrca Inc., a corporation incorporated in the State of Delaware, USA, operating an online promotional directory accessible at serviceorca.com.
  • "Service Provider" — refers to any business, sole trader, freelancer, or professional who registers an Account on the Platform to list and promote their services.
  • "User" or "Consumer" — refers to any individual who accesses the Platform to discover or browse Service Provider Listings, whether registered or not.
  • "Account" — refers to a registered profile created by a Service Provider on the Platform.
  • "Credits" or "Promotional Credits" — refers to the non-monetary, non-transferable digital units held in a Service Provider's Wallet, used exclusively to purchase Promotional Features on the Platform.
  • "Wallet" or "Credit Balance" — refers to the internal balance of Credits associated with a Service Provider's Account.
  • "Listing" — refers to a Service Provider's profile page on the Platform displaying their business information and service descriptions.
  • "Promotional Features" — refers to paid visibility enhancements available on the Platform, such as elevated search placement, featured badges, or highlighted listings.
  • "Third-Party Services" — refers to any services, work, or transactions conducted between a User and a Service Provider, entirely outside the Platform.
  • "Content" — refers to all text, images, photographs, videos, data, and other materials submitted to or published on the Platform.

2. ACCEPTANCE OF TERMS

By accessing, registering on, or using the Platform in any way, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

We reserve the right to amend these Terms at any time. Material changes will be communicated by updating the "Last Updated" date and, where appropriate, by direct notification to registered Service Providers. Continued use of the Platform following any change constitutes acceptance of the revised Terms.


3. ELIGIBILITY

You must be at least 18 years old to register an Account or use any paid features of the Platform. By registering, you represent and warrant that:

  • You are at least 18 years of age;
  • You have full legal capacity to enter into these Terms;
  • If registering on behalf of a business, you have authority to bind that entity to these Terms;
  • All information you provide is accurate, current, and complete.

4. NATURE OF THE PLATFORM — CRITICAL LIMITATIONS

4.1 Directory and Promotional Tool Only

ServiceOrca operates exclusively as an online promotional directory. The Platform allows Service Providers to create Listings and purchase Promotional Features to increase the visibility of their Listings to Users. That is the full extent of ServiceOrca's role.

ServiceOrca is NOT, and shall under no circumstances be construed as:

  • A marketplace, booking agent, or transaction intermediary;
  • A party to any agreement, contract, or arrangement between a Service Provider and a User;
  • An employer, contractor, partner, or agent of any Service Provider;
  • A guarantor, insurer, or underwriter of any service offered by a Service Provider.

4.2 No Verification of Service Providers

ServiceOrca does not verify, screen, vet, background-check, license-check, or otherwise validate the identity, qualifications, credentials, insurance, or suitability of any Service Provider. The presence of a Listing on the Platform does not constitute any endorsement, recommendation, or warranty by ServiceOrca. Users are solely and entirely responsible for conducting their own due diligence before engaging any Service Provider.

4.3 No Guarantee of Quality, Safety, or Legality

ServiceOrca makes no guarantee, representation, or warranty whatsoever — express or implied — regarding the quality, standard, safety, legality, fitness for purpose, timeliness, accuracy, or any other characteristic of the services or work offered or provided by any Service Provider. All engagements between Users and Service Providers are entirely at the User's own risk.

4.4 No Commissions or Transaction Involvement

ServiceOrca does not charge commissions, take a percentage of any transaction, or process payments between Service Providers and Users. Any financial transactions for Third-Party Services occur exclusively and directly between the Service Provider and the User, with no involvement from ServiceOrca.

4.5 No Control Over Service Providers or Users

ServiceOrca exercises no control over the conduct, actions, omissions, representations, or performance of any Service Provider or User. ServiceOrca is not responsible for and does not supervise the services described in any Listing or any interaction between Service Providers and Users.


5. ACCOUNTS AND REGISTRATION

5.1 Service Provider Accounts

Service Providers must register an Account to create Listings and access Promotional Features. Users may browse Listings without registration, though certain features may require registration.

5.2 Registration Requirements

When registering as a Service Provider, you must provide accurate and complete information, including:

  • Full legal business name and trading name (if different);
  • Valid business address and contact information;
  • Accurate and complete service descriptions;
  • Correct categorisation of services offered;
  • Any other information requested during the registration process.

You agree to keep all Account information accurate and up to date. ServiceOrca reserves the right to suspend or remove Listings containing inaccurate, misleading, or outdated information.

5.3 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials and for all activity conducted under your Account. You must notify ServiceOrca immediately at [email protected] upon becoming aware of any unauthorised access. ServiceOrca shall not be liable for any loss or damage resulting from your failure to protect your credentials.

5.4 One Account Per Entity

Each business or individual may maintain only one active Service Provider Account unless explicitly authorised otherwise by ServiceOrca in writing.


6. CREDIT WALLET AND PROMOTIONAL FEATURES

6.1 Credit-Based System — No Subscriptions

ServiceOrca operates on a prepaid credit system. There are no subscriptions, recurring charges, or membership fees. Service Providers deposit funds to their Account Wallet, which are converted into Credits at the rate published on the Platform at the time of deposit. Credits are then spent to purchase Promotional Features on a pay-as-you-go basis.

6.2 Nature of Credits

You acknowledge and agree that Credits:

  • Are a prepaid digital promotional unit with no fiat monetary value and are not currency, electronic money, or any form of financial instrument;
  • Are held in your Wallet exclusively for the purpose of purchasing Promotional Features on the Platform;
  • Are non-transferable and may not be gifted, sold, shared, or assigned to any other Account or person;
  • Cannot be withdrawn, redeemed, or converted back into any fiat currency or monetary equivalent under any circumstances;
  • Do not accrue interest;
  • May expire if your Account remains inactive for a period exceeding 24 consecutive months, as notified to you in advance;
  • Are non-refundable once deposited, subject to Section 6.5 below.

6.3 Deposits and Payment Processing

Deposits to your Wallet are processed through Stripe, Inc. or another authorised third-party payment processor. By making a deposit, you agree to the applicable payment processor's terms of service and privacy policy. ServiceOrca does not store your card details or raw payment information. All deposits are denominated in the currency displayed at checkout. ServiceOrca is not responsible for any exchange rate fluctuations, banking fees, or charges imposed by your financial institution.

6.4 Exclusive Use — Promotional Features Only

Credits may only be used to purchase Promotional Features on the Platform, which may include:

  • Elevated or featured placement in search results;
  • Highlighted Listing badges or labels;
  • Increased display prominence on category or location pages;
  • Any other promotional visibility tools offered by ServiceOrca from time to time.

Credits cannot be used for any purpose other than purchasing Promotional Features on the Platform. Credits cannot be used to pay for any Third-Party Services.

6.5 Non-Refundable Policy

ALL DEPOSITS TO YOUR WALLET ARE FINAL AND STRICTLY NON-REFUNDABLE. Once funds are deposited and converted into Credits, they cannot be returned, reversed, or withdrawn under any circumstances, including but not limited to Account closure, dissatisfaction with Promotional Feature results, changes in business circumstances, or termination of these Terms.

The sole exception applies where a verified technical error on ServiceOrca's part results in an incorrect charge. In such cases, you must notify us in writing within 14 days of the transaction. ServiceOrca will investigate and, if a verified error is confirmed, issue a Credit adjustment or refund at its sole discretion.

ServiceOrca strongly advises Service Providers to deposit only the amount they intend to use for Platform promotional purposes.

6.6 No Subscription or Automatic Renewal

ServiceOrca does not offer subscription plans and does not charge recurring fees automatically. Each deposit is a one-time, deliberate action by the Service Provider. ServiceOrca will never charge your payment method without your explicit authorisation for each individual transaction.

6.7 Pricing Changes

ServiceOrca reserves the right to change the pricing of Promotional Features and the rate at which Credits are sold. Changes will be communicated in advance and will not affect Credits already held in your Wallet at the time of the change.


7. SERVICE PROVIDER OBLIGATIONS

7.1 Accurate Listings

Service Providers must ensure their Listings are accurate, complete, and not misleading at all times. Listings must accurately describe the services offered, pricing, location, contact information, and any relevant qualifications or licences.

7.2 Compliance with Laws

Service Providers are solely responsible for complying with all applicable laws, regulations, licensing requirements, and professional standards relevant to their business and the services they offer. ServiceOrca takes no responsibility for any Service Provider's failure to comply with legal obligations.

7.3 Prohibited Content and Conduct

Service Providers may not:

  • Post false, misleading, deceptive, or fraudulent information in their Listing;
  • List services that are illegal, restricted, or prohibited under applicable law;
  • Manipulate, solicit, or incentivise reviews or ratings in any way;
  • Engage in discriminatory, harassing, or abusive conduct toward Users or other Service Providers;
  • Use the Platform to send unsolicited commercial messages (spam);
  • Attempt to circumvent or interfere with the Platform's systems, security, or functionality;
  • Create multiple Accounts for the same entity to gain an unfair promotional advantage;
  • Infringe upon the intellectual property rights of ServiceOrca or any third party.

7.4 Responsibility for Third-Party Services

Service Providers are solely and exclusively responsible for the quality, safety, legality, delivery, and all other aspects of the Third-Party Services they advertise and provide. ServiceOrca has no role in, and accepts no responsibility for, any aspect of any Third-Party Service.


8. USER OBLIGATIONS

8.1 Independent Verification

Users acknowledge that ServiceOrca does not vet or verify Service Providers. Users must independently verify a Service Provider's credentials, qualifications, insurance, and suitability before engaging their services. ServiceOrca strongly encourages Users to exercise due diligence.

8.2 Reviews and Ratings

Users who submit reviews must ensure their reviews are:

  • Based on genuine, first-hand experience with the Service Provider;
  • Honest, factual, and not defamatory;
  • Free from offensive, abusive, or discriminatory language;
  • Not submitted in exchange for any incentive from a Service Provider.

ServiceOrca reserves the right to remove any review that violates these requirements without notice.

8.3 Prohibited User Conduct

Users may not:

  • Post false, malicious, or defamatory reviews;
  • Use the Platform for any unlawful purpose;
  • Attempt to scrape, harvest, or extract data from the Platform without authorisation;
  • Interfere with the proper functioning of the Platform.

9. DISPUTES BETWEEN USERS AND SERVICE PROVIDERS

9.1 No Involvement by ServiceOrca

Any dispute, claim, complaint, loss, damage, or liability arising from or relating to a Third-Party Service — including but not limited to disputes over quality, delivery, payment, safety, injury, or breach of contract — is strictly and exclusively a matter between the User and the Service Provider concerned.

ServiceOrca will not:

  • Mediate, arbitrate, or adjudicate any dispute between a User and a Service Provider;
  • Compensate any party for losses arising from Third-Party Services;
  • Intervene in or take sides in any such dispute;
  • Act as a witness, guarantor, or point of escalation for disputes relating to Third-Party Services.

9.2 User Recourse

Users seeking recourse for issues with a Third-Party Service should address their concerns directly with the Service Provider, seek legal advice, contact relevant consumer protection authorities, or utilise any dispute resolution mechanisms available under applicable law. ServiceOrca may, at its absolute discretion and without obligation, remove a Listing if it receives credible evidence of persistent illegal conduct by a Service Provider, but this does not constitute involvement in any individual dispute.


10. CONTENT AND INTELLECTUAL PROPERTY

10.1 Platform Content

All content on the Platform owned by ServiceOrca — including text, graphics, logos, images, software, design elements, and the Platform's structure — is the intellectual property of ServiceOrca, Inc. and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from Platform content without express prior written permission from ServiceOrca.

10.2 Service Provider Content

By submitting Content to the Platform (including Listing information, images, and descriptions), you grant ServiceOrca a non-exclusive, worldwide, royalty-free, sublicensable licence to use, display, reproduce, and distribute that Content solely for the purpose of operating and promoting the Platform. You represent and warrant that you own or have the necessary rights to grant this licence and that your Content does not infringe any third-party rights.

10.3 Accuracy of Content

You are solely responsible for the accuracy, legality, and appropriateness of all Content you submit. ServiceOrca does not verify the accuracy of any Listing Content.

10.4 Removal of Content

ServiceOrca reserves the right to remove or edit any Content at any time without notice, for any reason, including but not limited to Content that violates these Terms or that ServiceOrca deems inappropriate in its sole discretion.


11. PRIVACY AND DATA PROTECTION

ServiceOrca collects, processes, and stores personal data in accordance with its Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection and processing of your personal data as described in the Privacy Policy. ServiceOrca complies with applicable data protection legislation, including the General Data Protection Regulation (GDPR) where applicable.


12. FEES, TAXES, AND FINANCIAL RESPONSIBILITY

Service Providers are solely responsible for determining and fulfilling all tax obligations arising from their use of the Platform and from the Third-Party Services they provide, including VAT, income tax, sales tax, and any other applicable levies. ServiceOrca does not provide tax advice and accepts no liability for any Service Provider's tax obligations. Platform fees (Credits) are exclusive of any applicable taxes unless stated otherwise at checkout.


13. SUSPENSION AND TERMINATION

13.1 Termination by You

You may close your Account at any time by contacting ServiceOrca at [email protected]. Upon Account closure, any remaining Credits in your Wallet will be forfeited and non-refundable.

13.2 Termination by ServiceOrca

ServiceOrca reserves the right to suspend, restrict, or permanently terminate your Account and/or Listing at any time, with or without notice, for any reason, including but not limited to:

  • Breach of any provision of these Terms;
  • Providing false, misleading, or fraudulent information;
  • Engaging in illegal, harmful, or abusive conduct;
  • Activity that poses a risk to the Platform, other users, or ServiceOrca's reputation;
  • Extended periods of Account inactivity.

13.3 Effect of Termination

Upon termination, your right to access the Platform and use your Account ceases immediately. Any remaining Credits are forfeited. ServiceOrca may retain certain Account information as required by applicable law or for legitimate business purposes. Clauses that by their nature should survive termination (including Sections 4, 6.5, 9, 10, 14, 15, and 16) shall continue to apply.


14. DISCLAIMERS

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. SERVICEORCA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
  • ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS;
  • ANY WARRANTY AS TO THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM;
  • ANY WARRANTY REGARDING THE QUALITY, SAFETY, LEGALITY, OR SUITABILITY OF ANY SERVICE PROVIDER OR THIRD-PARTY SERVICE.

15. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SERVICEORCA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF REVENUE, PROFIT, BUSINESS, DATA, GOODWILL, OR ANTICIPATED SAVINGS;
  • DAMAGE OR INJURY ARISING FROM ANY THIRD-PARTY SERVICE;
  • LOSS ARISING FROM RELIANCE ON ANY LISTING OR CONTENT ON THE PLATFORM;
  • ANY CLAIM ARISING FROM A DISPUTE BETWEEN A USER AND A SERVICE PROVIDER.

ServiceOrca's total aggregate liability to you for all claims arising from or relating to the Platform or these Terms shall not exceed the total amount of Credits you deposited in the twelve (12) months preceding the event giving rise to the claim, or USD $100, whichever is greater.

Some jurisdictions do not permit the exclusion or limitation of certain warranties or liabilities. To the extent such exclusions are not permitted under applicable law, they shall apply to the fullest extent permitted.


16. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless ServiceOrca, Inc. and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of or access to the Platform;
  • Your Listing or any Content you submit to the Platform;
  • Any Third-Party Service you offer or provide;
  • Your breach of any provision of these Terms;
  • Your violation of any applicable law or regulation;
  • Your violation of any rights of any third party, including any User.

17. LINKS TO THIRD-PARTY WEBSITES

The Platform may contain links to third-party websites or resources. Such links are provided for convenience only. ServiceOrca does not endorse and is not responsible for the content, products, or services of any linked third-party site. Accessing third-party sites is entirely at your own risk and subject to those sites' own terms and policies.


18. GOVERNING LAW AND JURISDICTION

18.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law principles.

18.2 Jurisdiction

Any legal action or proceeding arising under or in connection with these Terms shall be brought exclusively in the state or federal courts located in the State of Delaware, USA. You irrevocably consent to the personal jurisdiction of such courts.

18.3 Informal Resolution

Before initiating any formal legal proceedings, both parties agree to attempt to resolve any dispute informally by contacting ServiceOrca at [email protected] and allowing 30 days to seek a good-faith resolution.


19. GENERAL PROVISIONS

19.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ServiceOrca, Inc. with respect to the Platform and supersede all prior agreements and understandings.

19.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

19.3 No Waiver

ServiceOrca's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

19.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without ServiceOrca's prior written consent. ServiceOrca may assign these Terms or any rights hereunder without restriction.

19.5 Force Majeure

ServiceOrca shall not be liable for any delay or failure in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government actions, power failures, or internet outages.

19.6 Language

These Terms are written in English. In the event of any conflict between a translated version and the English version, the English version shall prevail.
